Job Overview:

The Corporate Lawyer is responsible for providing legal advice, support, and risk management across the company’s corporate, commercial, and operational activities. This role ensures compliance with applicable laws and regulations while safeguarding the company’s legal interests. The Corporate Lawyer works closely with management and internal departments to draft, review, and manage contracts, oversee corporate governance matters, handle regulatory compliance, and coordinate with external legal counsel, notaries, and authorities. The role requires a high level of professionalism, integrity, and confidentiality in supporting business decisions and corporate strategy.

 
Key Responsibilities:

  • Provide legal advice and guidance to management and internal departments on corporate, commercial, compliance, and intellectual property matters.
  • Draft, review, negotiate, and manage legal documents and commercial contracts including sales agreements, supplier contracts, service agreements, NDAs, MOUs, licensing agreements, and other corporate documents.
  • Handle corporate governance and secretarial matters, including company establishment, amendments to articles of association, shareholder resolutions, board meetings, and statutory filings.
  • Ensure company compliance with applicable laws, regulations, licenses, permits, certifications, and internal policies relevant to business operations.
  • Identify, assess, and mitigate legal risks related to business activities, transactions, intellectual property, and strategic initiatives.
  • Manage and oversee intellectual property matters, including patents, trademarks, copyrights, and industrial designs.
  • Handle patent-related activities such as coordination of patent searches, prior art review, freedom-to-operate analysis, filing, prosecution, maintenance, renewal, and documentation of patents.
  • Coordinate with R&D, engineering, and product development teams to identify patentable inventions and protect company innovations.
  • Liaise with external legal counsel, IP consultants, patent attorneys, notaries, and government authorities (including DGIP or relevant IP offices).
  • Support dispute resolution processes including handling legal notices, claims, negotiations, and litigation or IP infringement support when required.
  • Develop, implement, and maintain internal legal policies, standard contract templates, and intellectual property management procedures.
  • Monitor changes in corporate, commercial, and intellectual property laws and advise management on their impact on the company.
  • Maintain organized legal and IP documentation systems ensuring proper record keeping and audit readiness.

Qualifications & Experience:
Requirements:

  • Bachelor’s degree in Law (Sarjana Hukum).
  • Licensed Advocate (PERADI or equivalent) and registered member of a recognized bar association.
  • Possession of relevant legal certifications such as Corporate Legal Certification, Contract Drafting Certification, or Intellectual Property (IP) Certification is highly preferred.
  • Strong knowledge of corporate law, contract law, company regulations, and intellectual property law, including patents, trademarks, and industrial designs.
  • Excellent legal drafting, analytical, and negotiation skills.
  • Strong written and verbal communication skills in English and Bahasa Indonesia.
  • High level of integrity, professionalism, and confidentiality.
  • Proficient in Microsoft Office and legal documentation management systems

Core Competencies:

  • Minimum 3-5 years of experience as a Corporate Lawyer, In-House Counsel, or Associate at a law firm or corporate legal department.
  • Proven experience in handling corporate and commercial legal matters, including contract drafting and negotiation.
  • Demonstrated experience in managing intellectual property matters, particularly patents, including patent filing, prosecution, maintenance, and coordination with IP consultants or authorities.
  • Experience in conducting patent searches, freedom-to-operate analysis, or IP risk assessments is an advantage.
  • Prior experience handling trademarks, copyrights, and industrial designs is a plus.
  • Experience working with manufacturing, R&D, engineering, or product development teams related to patentable innovations is strongly preferred.
  • Experience liaising with external IP consultants, patent attorneys, and government IP offices (e.g., DGIP or equivalent).
  • Background in manufacturing, industrial, export-oriented, or multinational corporate environments is an advantage.
